Corply overview

What is Corply?

Corply is a cloud-based software and operations platform for forming and running a U.S. Delaware C-Corp, designed for venture-track startup founders and cofounder teams. The platform exposes company formation as an authenticated Model Context Protocol (MCP) server at corply.dev/mcp, allowing compatible AI agents — including Claude Code, Codex, OpenCode, Cursor, Claude Desktop, and any MCP-capable client over streamable HTTP with OAuth 2.0 — to execute the full incorporation workflow from a single command. Founders who prefer not to use a terminal can complete the same workflow through a browser at corply.dev. Every Delaware state submission receives human review before filing.

Corply generates the complete set of investor-expected formation documents in one workflow: Certificate of Incorporation, Bylaws, Action of Incorporator, Board Consent, founder stock with vesting schedules and IP assignment, and 83(b) election with deadline tracking. EIN preparation and submission is included, with support for international founders who lack a Social Security number. Cofounder e-signatures are collected under ESIGN/UETA with a full audit bundle covering signer identity, consent, timestamps, and document hashes — each cofounder signs from their own agent or browser without a separate web portal. Post-formation, Corply maintains a canonical company record covering cap table data (issued stock, SAFEs, option pool, fully diluted), corporate documents, ownership data, and compliance deadlines, all queryable by a founder's AI agent.

Corply's ongoing plan covers the full operational stack for a Delaware C-Corp: annual Delaware report and franchise tax filing, board and stockholder consent drafting and signature coordination, SAFE issuance using the YC standard post-money SAFE, virtual physical mailbox, registered agent service, a business phone with 1,000 forwarded minutes per month, a .com domain, and corporate banking setup. All services are priced on a flat-fee basis with costs quoted before payment, with no hourly billing.
